1. About Us
Texora Sourcing is an apparel sourcing and manufacturing coordination company based in Tiruppur, India.
We assist brands and businesses with apparel sourcing, product development, sampling, manufacturing coordination,
quality control, and export support through verified manufacturing partners.
2. Services
Our services include, but are not limited to:
- Apparel sourcing
- Product development & sampling
- Fabric sourcing
- Manufacturing coordination
- Quality control support
- Custom branding & trims
- Export and logistics coordination
All services are provided based on the client’s approved specifications, requirements, and agreed scope of work.
3. Quotations & Pricing
- All quotations are based on the details and specifications provided by the client.
- Prices may vary depending on fabrics, trims, dyeing, washing, printing, embroidery, packaging, and production requirements.
- Minimum order quantities (MOQ) may vary depending on fabric type, manufacturing process, and factory requirements.
- Small quantity programs may be treated as development or sampling programs and may involve higher production costs.
4. Order Confirmation & Payment Terms
- Orders are considered confirmed only after mutual agreement on pricing, specifications, timelines, and payment terms.
- Standard payment terms are 50% advance payment before production and 50% balance payment before dispatch.
- Production will begin only after receipt of the advance payment.
- Delays in payment may affect production timelines and dispatch schedules.
- Texora Sourcing reserves the right to hold shipment until full payment is received.
5. Sampling & Product Development
- Sampling charges are non-refundable.
- Sample development timelines are estimates and may vary depending on fabric availability, trims, approvals, or development complexity.
- Courier charges for samples may be charged separately unless agreed otherwise.
- Clients are responsible for reviewing and approving samples before bulk production begins.
- Once a sample is approved, bulk production will proceed based on the approved standard.
6. Production & Delivery Timelines
- Production timelines provided are estimated timelines only.
- Timelines may vary due to material availability, factory schedules, public holidays, logistics delays, or client-requested changes.
- Texora Sourcing shall not be held liable for delays caused by third-party manufacturers, suppliers, or logistics providers.
7. Quality Standards & Production Tolerance
- Products will be developed according to approved samples and agreed quality standards.
- Minor variations may occur during bulk production and shall be considered acceptable within industry standards.
- Fabric GSM tolerance: ±5%
- Minor shade variation between dye lots may occur.
- Minor measurement or finishing variations are considered commercially acceptable.
8. Shipping & Export Terms
- Unless otherwise agreed, quotations are generally provided on FOB (Free On Board) basis.
- Clients are responsible for shipment arrangements, customs clearance, duties, taxes, and import regulations.
- If requested, Texora Sourcing may assist through third-party logistics partners.
- Shipping timelines are estimates provided by logistics providers.
- Texora Sourcing is not responsible for delays, damages, or losses caused during transit.
9. Changes, Modifications & Cancellations
- Order changes must be communicated as early as possible.
- Minor changes may be accommodated depending on the production stage.
- Major changes after confirmation may result in additional costs and revised timelines.
- Order cancellations are not permitted once fabric procurement or production has started.
- Payments made are non-refundable.
- In approved quality issue cases, Texora Sourcing may repair, reproduce, or replace affected products based on mutual discussion.
10. Refund & Claims Policy
- Payments made towards sampling, development, sourcing, or production are non-refundable.
- Refunds, if any, shall be solely at the discretion of Texora Sourcing and based on mutual agreement.
- Any quality-related claims must be reported within a reasonable period after delivery along with supporting evidence.
11. Confidentiality
- All client information, product details, and business discussions shall remain confidential.
- Texora Sourcing does not share confidential client information with unauthorized parties.
- Non-Disclosure Agreements (NDA) may be signed upon request.
12. Intellectual Property
- Clients are responsible for ensuring that provided logos, graphics, branding elements, and designs do not infringe third-party rights.
- Texora Sourcing shall not be liable for trademark, copyright, patent, or intellectual property disputes arising from client-provided materials.
13. Limitation of Liability
Texora Sourcing acts as a sourcing and manufacturing coordination partner between clients and third-party manufacturing units.
- Delays caused by manufacturers, suppliers, or logistics providers
- Commercial or resale losses
- Customs delays or import restrictions
- Indirect or consequential damages
- Variations within accepted industry tolerances
Liability, if any, shall be limited only to the agreed order value.
14. Force Majeure
Texora Sourcing shall not be responsible for failure or delay caused by events beyond reasonable control including natural disasters, floods, fire, government restrictions, pandemics, labor strikes, power shortages, port congestion, transportation disruptions, or raw material shortages.
15. Governing Law & Jurisdiction
These Terms & Conditions shall be governed in accordance with the laws of India.
Any disputes arising in connection with our services shall be subject to the jurisdiction of the courts located in Tiruppur, Tamil Nadu, India.
16. Updates to Terms
Texora Sourcing reserves the right to update or modify these Terms & Conditions at any time without prior notice.
